Advanced Info Service Plc (ADVANC) announced resolutions made at shareholders' meeting held on February 13, 1997, as follows: 1.To cancel the minutes of shareholders' extraordinary meeting No.1 /1995 hold on February 23, 1995 the third agenda issue concerning that it was certified to issue and offer unsecured debentures worth US$100 million or Bt2,500 million, entirely offered to foreign investors 2.To approve the issueance and offering of the debentures, as following details: Number : The numbers depend on the value of Bt4,000 million and /or equivalent to another currency Type : Unsecured debentures Maturity : Not over 10 years from date they issued Offering method : Offered to public in general and/or institutional investors of Thailand and/or foreign countries as a whole or partially and able to offer wholly at once or partially at several times The board and/or executive board and/or person authorised by the board would determine these criterias and conditions such as number, face value, selling price, coupon rate, appointment of delegate, allocating method, offering method in detail, opening the account awaiting for paid-up funds as well as having those debentures registered or listed by/in any stock exchange.
