- Translation - AIS-CP 080/2005 August 5, 2005 Re: Notification of the capital increases and join venture in Advanced mPAY Company Limited To: The President The Stock Exchange of Thailand Advanced Info Service Public Company Limited ("the Company") would like to notify you that Advanced mPAY Company Limited ("AMP"),a 99.99% subsidiary of the Company, has resolved to increase its registered capital from Baht 210 million divided into 21 million shares at par value of Baht 10 each to Baht 300 million divided into 30 million shares at par value of Baht 10 each. The newly issued capital of Baht 90 million divided into 9 million shares at par value of Baht 10 each, shall be issued and offered to NTT DoCoMo,Inc.("DoCoMo"), the joint venture partner from Japan who has no other connection with the Company, to operate the electronic card payment system via mobile phone. Currently, AMP has approval from the Bank of Thailand to hold the license. After the subscription, the shareholding structure of AMP will be 70% and 30% of the total registered capital held by the Company and DoCoMo respectively. The Company hereby certifies that this transaction is not a connected transaction and does not trigger the reporting requirement for the acquisition and disposition of assets of listed companies under the SET notification.
